Competition Policy

Use of Tradeplace’s Services. The Services offered by Tradeplace may not be used by participating Sellers and Registered Users for anti-competitive purposes. In operating the Services Tradeplace will not, and in using the Services participating Sellers and Registered Users shall not:
- enter into anti-competitive practices;
- exchange competitively sensitive information (such as information on price, conditions of sale, investment plans, terms, market shares, business, purchase practices);
- agree on allocation of customers, sellers, markets (product and geographic);
- enter into any discussion or agreement that they will not do business with any other party; or
- enter into any discussion or agreement that would make the sale and purchase of any product or service subject to the acceptance of additional and unrelated products and/or services.
Seller’s commitments. Without prejudice to the generality of the foregoing, each participating Seller agrees not to use the Services to:
(a) collude on any matters related to pricing or collude to fix terms and conditions on which the Seller does business;
(b) agree to restrict or allocate markets and/or sources of supply (by location or customer), discuss or agree on a particular company's type of product or production schedules, production, distribution or marketing of any products;
(c) agree to the blacklisting or boycotting any customer, competitor or Seller;
(d) agree to limit or control a particular company's investment or technical development; or
(e) allow access to or seek access to confidential or other unpublished business information outside the normal customer-Seller relationship.
Tradeplace Commitment. Tradeplace has adopted procedures and technical solutions to procure that access to actual transaction data or other commercially sensitive information regarding any of the other Sellers and their Registered Users is not possible with the exception of information concerning the relationship between a specific User and a specific Seller that Tradeplace may voluntarily supply to such specific Seller in compliance with this Competition Policy and the Privacy Policy.
Controls and Sanctions. Tradeplace reserves the right to verify through the use of appropriate measures that participating Sellers and Registered Users comply with this competition policy.
Failure to comply with this Policy shall result in a possible suspension of the non-compliant participating Sellers and/or Registered Users' rights to use Tradeplace’s Services. Suspension shall not release the participating Sellers and/or Registered Users from their obligations towards Tradeplace.
In the event of repeated violations of this policy, Tradeplace shall have the right to exclude the non-compliant companies on a permanent basis, without prejudice to any other remedy provided for by the law and the applicable Seller and/or Registered User agreement.
Tradeplace may report to the competent authorities any fact or action that may constitute a violation of this policy and of the applicable competition laws.
This Competition Policy was originally drafted in English which is the leading version. It has been translated into a number of other languages using software tools. In the event of a discrepancy between this English version and a translated version, this English version will always take precedence.
